Terms of Service — Marginia

Welcome to Marginia. These Terms of Service ("Terms") govern your access to and use of the websites, services, and applications provided by Marginia (collectively, the "Service" or "Platform"), including but not limited to Listo AI and Rate My Supervisor.

Please read these Terms carefully before using the Service. By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use our Service.

1. Acceptance of Terms & Eligibility

By using Marginia, you represent and warrant that you are at least 18 years of age and possess the legal authority to enter into this binding agreement. If you are accepting these Terms on behalf of a business, merchant, or e-commerce entity, you represent that you have the authority to bind that entity to these Terms.

2. Services Provided & The "Listo AI" Tool

Marginia provides independent e-commerce advisory, data insights, and AI-driven automation tools. Our flagship product, Listo AI, utilizes advanced generative AI models (including but not limited to third-party APIs like Google Vertex AI) to generate product titles, description listings, and optimized/edited product images for e-commerce platforms such as Allegro and Amazon.

3. Account Registration & Security

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Promptly notify us at hello@marginia.org if you discover or suspect any security breaches related to the Service.

4. Fees, Billing, and Refunds

Subscription & Usage:

Certain features of the Service (e.g., premium Listo AI limits) are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis depending on your selected plan.

Payment Processor:

All payments are securely processed via Stripe. Marginia does not store or have access to your raw credit card details.

No Refunds:

Due to the high server and computing costs associated with AI generation (such as Image Inpainting/Outpainting), all fees paid to Marginia are non-refundable unless required by local consumer protection laws. You may cancel your subscription at any time to prevent future billing.

5. Artificial Intelligence (AI) Content Disclaimer (Crucial for Listo AI)

Accuracy of Outputs:

You acknowledge that Listo AI generates text and images using third-party artificial intelligence models. AI-generated content can occasionally be inaccurate, incomplete, biased, or cloned. Marginia does not warrant or guarantee the factual accuracy, legal compliance, or marketplace appropriateness of any content generated by the Service.

User Responsibility:

You are solely responsible for reviewing, verifying, and editing all AI-generated listings and images before publishing them to live marketplaces like Allegro or Amazon.

Marketplace Compliance:

Marginia is not affiliated with, endorsed by, or partnered with Allegro, Amazon, or any other marketplace. You are entirely responsible for ensuring that your AI-generated product listings comply with the specific terms of service, policies, and local laws governing those e-commerce platforms. Marginia shall not be held liable if your merchant account is suspended, penalized, or banned by any third-party marketplace.

6. Intellectual Property Rights & Content Ownership

Our Property:

The Service, its original content, features, functionality, logos, and user interfaces are and will remain the exclusive property of Marginia.

Your Content & Generated Output:

You retain all rights to the original text and images you upload to the Platform. To the maximum extent permitted by law, Marginia claims no ownership over the outputs generated for you by Listo AI. You are granted a worldwide, royalty-free license to use, modify, and commercially exploit the generated listings for your e-commerce operations.

You warrant that any source images or texts you upload do not infringe on third-party intellectual property rights. You agree not to use the Service to generate counterfeit or infringing material.

7. Prohibited Uses

You agree not to use the Service:

For any unlawful purpose or to solicit others to perform unlawful acts.
To generate misleading, fraudulent, defamatory, or abusive product descriptions.
To reverse-engineer, decompile, or scrape data from the Platform.
To abuse, spam, or overload our API endpoints and server infrastructure.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Marginia, its operators, developers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, loss of e-commerce store revenue, commercial downtime, or merchant account bans, resulting from:

Your use or inability to use the Service.
Any errors, bugs, or inaccuracies in the AI-generated outputs.
Unauthorized access to or alteration of your transmissions or data.

Our total liability for any claims under these terms shall not exceed the amount paid by you to Marginia for the Service during the 3 months preceding the event giving rise to liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless Marginia and its operators from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party marketplace policy or intellectual property right.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the European Union (GDPR framework) and local civil laws, without regard to its conflict of law provisions. Any failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 14 days' notice prior to any new terms taking effect by posting an update notice on our website or emailing registered users. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
